OVERVIEW

Welcome to Ledge. The terms “we,” “us,” and “our” refer to Ledge. Ledge operates this website and online store, including the information, content, features, tools, products, and services made available through it (collectively, the “Services”).

Our store is powered by Shopify, which provides the ecommerce platform that enables us to offer our products and Services to you.

These Terms of Service (“Terms”), together with any policies referenced in them, describe your rights and responsibilities when you access or use our Services.

Please read these Terms carefully. By accessing, browsing, purchasing from, or otherwise using our Services, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Services.

1. ACCESS AND ACCOUNTS

However, colors, textures, dimensions, and other aspects of a product's appearance may vary slightly from what you see on your screen due to lighting, photography, display settings, manufacturing tolerances, and other factors.

We do not guarantee that the appearance of a product will be identical to its depiction on the website.

We reserve the right to modify product descriptions, specifications, availability, pricing, or other product information at any time, subject to applicable law.

We may discontinue products or limit the quantities available for purchase at our discretion.

3. ORDERS

Submitting an order constitutes an offer to purchase products from Ledge. We reserve the right to accept, decline, limit, or cancel an order where reasonably necessary, including because of product availability, suspected fraud, pricing or listing errors, payment issues, or other circumstances affecting our ability to fulfill the order.

An order is not considered accepted until we have accepted and processed it.

Please review your order carefully before submitting it. Once an order enters processing or fulfillment, we may be unable to modify or cancel it.

If we cancel or materially change an order, we will attempt to contact you using the contact information provided with your order.

Returns, refunds, and exchanges are governed by our Return and Refund Policy.

Products purchased from Ledge are intended for lawful use. We reserve the right to limit or reject orders that reasonably appear to involve unauthorized resale, fraud, abuse, or other unlawful activity.

4. PRICING, PAYMENT, AND TAXES

Prices, discounts, and promotions may change from time to time without prior notice. The price applicable to your purchase will generally be the price displayed when you place your order, subject to correction of obvious pricing or listing errors as permitted by law.

Unless otherwise stated, displayed product prices do not include applicable sales taxes, shipping charges, customs duties, import fees, or similar charges.

You agree to provide accurate and current billing and payment information and represent that you are authorized to use the payment method submitted with your order.

You are responsible for charges associated with your purchase, including applicable taxes and shipping charges disclosed during checkout.

Promotions, discount codes, and special offers may be subject to additional terms and may be modified or discontinued as permitted by law.

5. SHIPPING AND DELIVERY

Shipping and delivery dates are estimates unless expressly stated otherwise.

We are not responsible for delays caused by shipping carriers, severe weather, customs processing, incorrect or incomplete addresses provided by customers, or other circumstances outside our reasonable control.

Customers are responsible for providing an accurate and deliverable shipping address when placing an order.

If your shipment is lost, arrives damaged, or has another delivery issue, please contact us at hello@ledgebuilt.com so we can evaluate the issue and assist you.

6. RETURNS AND REFUNDS

Returns, exchanges, damaged items, and refunds are governed by our Return and Refund Policy.

Where these Terms conflict with our Return and Refund Policy regarding a return or refund, the Return and Refund Policy will control, subject to applicable law.

7. INTELLECTUAL PROPERTY

The Services and their content—including the Ledge name and branding, logos, product names, designs, photographs, graphics, videos, text, website design, and other materials—are owned by or licensed to Ledge and may be protected by copyright, trademark, and other intellectual-property laws.

You may use the Services for your personal, non-commercial use.

Except where permitted by law, you may not reproduce, distribute, modify, republish, sell, exploit, publicly display, or create derivative works from our protected content without prior written permission from Ledge or the applicable rights holder.

Nothing in these Terms grants you ownership of or a license to Ledge's trademarks, branding, copyrighted material, or other intellectual property except as expressly stated.

The names, trademarks, logos, and other intellectual property of Shopify and other third parties remain the property of their respective owners.

8. THIRD-PARTY SERVICES AND LINKS

Our Services may include tools, applications, payment services, links, integrations, or other functionality provided by third parties.

We do not control third-party websites or services and are not responsible for their content, availability, security, accuracy, policies, or practices.

Your use of third-party services may be governed by separate terms and privacy policies established by those third parties. You should review those terms before using a third-party service.

9. RELATIONSHIP WITH SHOPIFY

Ledge is powered by Shopify, which enables us to provide the Services to you. However, purchases made through our store are transactions directly between you and Ledge.

Shopify is not the seller of products offered by Ledge and is not responsible for Ledge's products, fulfillment, customer service, or other obligations arising from transactions between you and Ledge, except to the extent otherwise required by applicable law.

10. PRIVACY

Our collection, use, and disclosure of personal information is described in our Privacy Policy.

Because our store is hosted by Shopify, Shopify may collect and process certain personal information in connection with your access to and use of the Services. Information may also be processed by service providers that help us operate our business and fulfill orders.

11. REVIEWS, FEEDBACK, AND USER CONTENT

If you voluntarily submit a review, photograph, suggestion, comment, idea, or other content to Ledge (“User Content”), you represent that you have the rights necessary to provide that content and that your submission does not violate the rights of another person.

By submitting User Content for publication or promotional use, you grant Ledge a non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute, and adapt that content in connection with operating, marketing, and improving Ledge and the Services, subject to applicable law.

You remain responsible for the content you submit.

We may remove or decline to publish content that we reasonably believe is unlawful, fraudulent, abusive, defamatory, infringing, misleading, or otherwise inappropriate.

12. ERRORS AND INACCURACIES

Occasionally, information on the Services may contain typographical errors, inaccuracies, or omissions relating to product descriptions, specifications, pricing, promotions, shipping charges, availability, or other information.

We reserve the right to correct such errors and update information as permitted by applicable law.

If an error materially affects an order you have already submitted, we may contact you regarding the error and, where appropriate, cancel and refund the affected order.

13. PROHIBITED USES

You may use the Services only for lawful purposes.

You may not use the Services to violate applicable laws or regulations; infringe intellectual-property, privacy, or other legal rights; transmit malicious software; commit or facilitate fraud; impersonate another person; interfere with the security or operation of the Services; collect personal information about others without authorization; send spam or other unauthorized solicitations; or engage in conduct intended to damage Ledge, Shopify, our customers, or our service providers.

You may not use automated systems, bots, scrapers, crawlers, or similar technologies to access, extract, reproduce, or interfere with the Services in violation of these Terms or applicable law.

We may restrict or terminate access to the Services where we reasonably believe these Terms have been violated.

14. TERMINATION

We may suspend or terminate access to some or all of the Services when reasonably necessary, including where a user violates these Terms, engages in fraudulent or unlawful activity, interferes with the operation or security of the Services, or creates material risk to Ledge, our customers, Shopify, or our service providers.

Any provisions that by their nature should continue after termination—including provisions concerning intellectual property, disclaimers, limitations of liability, and indemnification—will survive termination.

15. DISCLAIMER OF WARRANTIES

To the fullest extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.

Except for warranties expressly provided by Ledge or warranties that cannot legally be excluded, we disclaim warranties and representations concerning the Services, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee that the website or Services will always be uninterrupted, error-free, secure, or available.

Nothing in these Terms excludes or limits warranties or consumer rights that cannot lawfully be excluded or limited.

16. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Ledge and its owners, officers, employees, contractors, service providers, affiliates, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or relating to your use of the Services or purchase of products.

Nothing in these Terms excludes or limits liability where doing so would be prohibited by applicable law.

Your rights under applicable consumer-protection laws are not affected by any limitation that cannot legally be enforced.

17. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless Ledge and its affiliates, owners, officers, employees, agents, contractors, licensors, and service providers from third-party claims, damages, liabilities, losses, and reasonable costs arising from your material violation of these Terms, your violation of applicable law, or your infringement of another person's rights.

18. SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where necessary.

The remaining provisions will continue in effect.

19. WAIVER AND ENTIRE AGREEMENT

Our failure to enforce a provision of these Terms does not waive our right to enforce it later.

These Terms, together with the policies and other terms expressly incorporated into them, constitute the agreement between you and Ledge regarding your use of the Services, except where additional terms expressly apply.

20. ASSIGNMENT

You may not transfer your rights or obligations under these Terms without our prior written consent.

We may assign or transfer our rights and obligations in connection with a merger, acquisition, sale, reorganization, transfer of assets, or other legitimate business transaction, subject to applicable law.

21. GOVERNING LAW

These Terms and your use of the Services are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where applicable consumer-protection or other laws require otherwise.

Any dispute relating to these Terms will be handled in a court of competent jurisdiction as permitted by applicable law.

Nothing in this section deprives a consumer of rights or protections that cannot legally be waived under the laws applicable to that consumer.

22. CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect changes to our Services, business practices, or legal obligations.

The current version will be posted on this page with an updated “Last updated” date.

Where required by applicable law, we will provide appropriate notice of material changes.

Your continued use of the Services after updated Terms become effective constitutes acceptance of those Terms to the extent permitted by law.
